Terms & Conditions

Please review the following terms and conditions that govern your use of Chauffeurs Lane services, website, mobile application, and communications.

Part I — Service Terms & Conditions

1. Acceptance of Terms & Binding Agreement

By booking, scheduling, or using any transportation services provided by Chauffeurs Lane ("Company," "we," "us," or "our"), you ("Client," "Passenger," "you," or "your") agree to be bound by these Terms & Conditions ("Terms"). These Terms constitute a legally binding agreement between you and Chauffeurs Lane.

Your booking confirmation (sent via email, SMS, or both) constitutes your electronic signature and agreement to these Terms in their entirety. By providing your payment information, confirming a reservation, or allowing a chauffeur to perform services on your behalf, you acknowledge that you have read, understood, and agreed to every provision herein — including pricing, surcharges, cancellation policies, chargeback policies, and dispute resolution procedures. If you do not agree, you must not use our services.

These Terms apply to all reservations made through our website at chauffeurslane.com, our online booking system, by telephone, by email, or through any third-party platform authorized by Chauffeurs Lane.

2. Booking & Reservations

Reservations may be made through our online booking system at chauffeurslane.com, by calling (770) 310-8765, or by emailing contact us. A reservation is confirmed only when you receive written confirmation from Chauffeurs Lane with a reservation/confirmation number.

You are solely responsible for providing complete and accurate booking information including, but not limited to: pickup and drop-off addresses, date and time of service, exact passenger count, flight information (for airport transfers), child seat requests, and any special requirements. Incorrect or incomplete information is your responsibility and may result in additional charges, delays, or the inability to fulfill the reservation. Any charges resulting from inaccurate booking information are non-disputable.

A valid credit card is required at the time of booking to guarantee the reservation. Chauffeurs Lane will not dispatch a vehicle without a valid credit card pre-authorization. New clients may be required to submit a signed credit card authorization form along with a copy of a government-issued photo ID. We recommend booking at least 24 hours in advance for standard services and at least two (2) weeks in advance for weddings and special events.

3. Pricing Structure & Standard Surcharges

All fares are quoted in United States Dollars (USD). The base rate is determined by vehicle type, distance, duration, and trip type (transfer vs. hourly charter). The following surcharges are applied to every trip and are included in the quoted total:

  • Suggested Gratuity: 20% of the base rate
  • Fuel Surcharge (FSC): 10% of the base rate
  • Service Fee (STC): 20% of the base rate
  • Applicable state and local sales taxes (where required)

The Surface Transportation Charge (STC) covers administrative, dispatch, and operational overhead and is not tied to the specific trip. The Fuel Surcharge (FSC) is calculated based on Energy Information Agency (EIA) published fuel pricing. Both are always calculated as a flat percentage of the base rate.

Estimated Inclusive Quote: Rates quoted prior to service are only an initial estimate. Actual billable charges may exceed the initial estimate based on wait time, additional stops, route changes, additional passengers, extra services, or any items described elsewhere in these Terms.

4. Additional Fees & Event Surcharges

The following additional fees apply when conditions are met and are added to the final invoice:

  • Holiday Surcharge — $25: Applied to all trips on New Year's Day, Memorial Day, July 4th, Labor Day, Thanksgiving Day, Christmas Eve, and Christmas Day.
  • Late-Night Pickup Surcharge — $20: Applied to any pickup scheduled between 12:00 AM and 5:59 AM.
  • International Arrival Fee — $0: No charge for international arrivals and includes 60 minutes of complimentary wait time.
  • Child Safety Seat Fee — $25 per seat: Applied when a child seat is requested and provided by the passenger. Chauffeurs Lane does not provide child safety seats; passengers must supply and install their own seats.
  • Tolls, Peach Pass & HOT Lane Charges — Pass-Through: Any trips incurring usage of the Georgia Peach Pass or HOT (High-Occupancy Toll) lanes, bridge tolls, or other road tolls will be billed at actual cost and added to the final invoice.
  • Parking Fees — Pass-Through: Any parking fees incurred while servicing your trip will be billed at actual cost.
  • Atlanta (ATL) Airport Entry Fee — $10 flat: A $10 airport access fee applies to every sedan and SUV pickup or drop-off at Hartsfield-Jackson Atlanta International Airport (ATL). This fee covers airport facility access charges and is included in the final invoice. Other airports (PDK, FTY, LZU, RYY, and private FBOs) may have different access fees passed through at actual cost.
  • Special Event Surcharges: Rates, minimums, and cancellation windows may increase during major events including but not limited to the Super Bowl, Masters Tournament, SEC Championship, FIFA World Cup, Final Four, major concerts, and conventions. Special event surcharges supersede standard policies and will be noted in your booking confirmation.

5. Credit Card Authorization & Billing

Pre-Authorization. By submitting a reservation, you authorize Chauffeurs Lane to place a pre-authorization hold on your credit card in the amount of the estimated trip total plus 10% to cover potential additional charges. This hold may appear as a pending transaction on your statement for 3–7 business days. Chauffeurs Lane will not dispatch a vehicle without a successful credit card pre-authorization.

Final Billing. Upon completion of your trip, our billing department will audit the final charges and post the actual amount to your credit card on file, which may include additional wait time, extra stops, overtime, tolls, parking, damages, cleaning fees, or other charges as documented elsewhere in these Terms. By providing your credit card for reservation, you expressly authorize Chauffeurs Lane to charge all applicable fees to that card, including fees assessed after the trip is completed.

Credit Card Processing Fee. Transactions totaling $5,000.00 or more paid by credit card are subject to a 3.5% credit card processing fee, which will be added to the final invoice. To avoid this fee, you may pay by ACH, wire transfer, check, or cash (subject to approval).

Accepted Payment Methods. Cash, major credit cards (Visa, Mastercard, American Express, Discover), checks, wire transfer, ACH, and EFT. New clients or high-value bookings may be required to submit a signed credit card authorization form with a copy of a government-issued photo ID.

Billing Audit Period. All final invoices are considered final and accepted 48 hours after delivery to the email address on file unless you submit a written dispute to contact us within that 48-hour window. After 48 hours, all charges are deemed accepted and non-disputable.

6. Deposit Policy

Deposits may be required based on the type of booking, vehicle, group size, or proximity to the service date. Unless otherwise stated in your booking confirmation, the following deposit schedule applies:

  • Standard Deposits: 50% at booking, 25% due 30 days prior to the service date, and the remaining 25% due upon completion of service.
  • Bookings Within 30 Days: If the service date is less than 30 days from booking, a 75% deposit is charged at booking to secure the vehicle(s).
  • Weddings, Proms & Special Events: 50% non-refundable deposit at booking, with the remaining 50% due 14 days prior to service.
  • Mini-Bus & Motor Coach Charters: 50% deposit at booking, remaining 50% due 14 days prior to the charter date.

All deposits for weddings, proms, special events, and multi-vehicle corporate programs are non-refundable once the service date has been reserved and resources have been committed. Chauffeurs Lane reserves the right to adjust deposit requirements based on the size, complexity, or dates of any reservation.

7. Airport Wait Time — Hartsfield-Jackson (ATL)

For commercial flights arriving at Hartsfield-Jackson Atlanta International Airport (ATL), the following wait time policy applies (measured from actual flight landed time, not scheduled arrival time):

  • First 60 minutes: Complimentary. No wait time charges apply for the first 60 minutes after your flight has landed.
  • After 60 minutes: Wait time is billed at the vehicle's hourly rate, prorated in 15-minute increments.
  • International Arrivals: 60 minutes of complimentary wait time is included at no additional charge (see Section 4).

8. Airport Wait Time — Other Airports

For all other commercial airports, wait time is not charged unless the customer deviates from the designated chauffeur meeting location. In such cases, customers are permitted 20 minutes of wait time after the scheduled pickup. Wait time beyond 20 minutes is billed at the vehicle's hourly rate in 15-minute increments.

9. Point-to-Point Wait Time

For non-airport point-to-point transfers, customers are permitted 15 minutes of complimentary wait time after the scheduled pickup. Wait time beyond 15 minutes is billed at the vehicle's hourly rate in 15-minute increments.

10. FBO & Private Airport Minimums

All transfers to or from Fixed-Base Operator (FBO) facilities, private aviation terminals, or private airports are billed at the vehicle's hourly charter rate with a 2-hour minimum for sedans and SUVs. Trips involving multiple additional stops are also converted to hourly billing.

11. Extra Stops

For transfer reservations, one (1) stop along the route is permitted provided it does not exceed 15 minutes. Stops exceeding 15 minutes are billed at the vehicle's hourly rate in 15-minute increments, up to 45 minutes (rounded up). If more than one stop is made, or if any stop exceeds 30 minutes, the entire trip converts to an hourly charter rate.

12. Meet & Greet Service

For sedan and SUV transfers at Hartsfield-Jackson (ATL), standard meet-and-greet service is included in the fare at no additional charge. Your chauffeur will meet you inside the terminal at the designated chauffeur meeting location near your baggage claim.

Other airports and enhanced meet-and-greet services are priced as follows:

  • Enhanced Meet-and-Greet — $100 flat: Available upon request for single arrivals requiring a greeter at the jet bridge, curbside, or other non-standard location. Parking fees may apply at actual cost.
  • Group Arrivals — $100 per hour: For groups arriving on separate flights requiring a dedicated greeter to coordinate multiple pickups. Minimum charges and parking fees may apply.
  • Other Airports: Meet-and-greet rates vary by airport and will be quoted at the time of booking.

13. Garage-to-Garage Billing (Hourly Charters)

All hourly charter reservations are billed on a garage-to-garage basis. This means the billing clock starts when the chauffeur departs our garage en route to your pickup location, and stops when the chauffeur returns to our garage after your final drop-off. You are billed at the vehicle's applicable hourly rate for the entire garage-to-garage duration, in accordance with the minimum hours specified for the vehicle type.

This applies to all "as-directed" charters, multi-stop itineraries, special events, weddings, wine tours, corporate roadshows, and any trip that is quoted at an hourly rate rather than a flat transfer rate. The minimum billable hours appear in your estimate; actual billable hours may exceed the minimum based on actual service duration.

Transfer vs. Hourly. Point-to-point transfer reservations (airport transfers and pre-defined point-to-point routes) are billed at a flat transfer rate and do not include garage-to-garage positioning time. Any transfer reservation that requires additional stops, extended wait time, or service outside the 75-mile Atlanta metropolitan radius may convert to an hourly charter and will then be billed garage-to-garage in accordance with this Section 13.

14. Split-Trip Gap Policy

Same-day round-trip transfers require a minimum gap between drop-off and pickup to qualify for standard transfer pricing. The minimum gap is 6 hours between drop-off and pickup for all vehicles. If the gap is less than 6 hours, the trip cannot be split into two transfers and will be converted to a single hourly charter at the applicable hourly rate covering the full elapsed time.

Example: Drop-off at 10:00 AM; pickup must be at 4:00 PM or later to qualify as two separate transfers. Pickup at 3:00 PM triggers conversion to an hourly charter.

15. Vehicle Substitution Clause

Chauffeurs Lane reserves the right to substitute a vehicle of the same or higher capacity and class at no additional charge, without advance notice, when the specifically requested vehicle is unavailable due to maintenance, scheduling, traffic conditions, mechanical issues, or peak demand. Vehicle substitution is not grounds for refund, cancellation, or chargeback so long as the substitute vehicle is equal to or higher than the class originally booked.

16. Affiliate Partner Clause

While we make every effort to service your trip with a Chauffeurs Lane vehicle and chauffeur, we reserve the right to use a qualified affiliate partner chauffeur and vehicle when we are oversold, during peak demand, or for out-of-market services. This decision is at our sole discretion and may be made without advance notice. All affiliate partners are vetted for insurance, licensing, and service quality standards. Use of an affiliate partner is not grounds for refund, cancellation, or chargeback.

17. Change, Cancellation & No-Show Policy

The following cancellation windows apply, measured from the scheduled pickup time. Cancellations or modifications made within these windows result in the full quoted trip price being charged. All cancellations must be made by calling (770) 310-8765 or emailing contact us. Cancellations are effective only upon written confirmation from Chauffeurs Lane.

  • Sedans & SUVs: 24 hours before scheduled pickup. Cancellations or changes within 24 hours are billed at 100% of the quoted trip total.
  • Vans & Sprinters: 7 days before scheduled pickup. Cancellations or changes within 7 days are billed at 100% of the quoted trip total.
  • Mini-Buses & Motor Coaches: 14 days before scheduled pickup. Cancellations or changes within 14 days are billed at 100% of the quoted trip total.
  • Weddings, Proms & Special Events: Deposits are non-refundable. Cancellations within 14 days of the event date are billed at 100% of the quoted trip total.

No-Show Policy. If the passenger fails to meet the chauffeur at the designated pickup location or fails to answer calls from the chauffeur within 15 minutes of the scheduled pickup time (or 60 minutes for ATL airport arrivals measured from landed time), the reservation will be marked as a no-show and charged at 100% of the quoted trip total plus any applicable parking, tolls, and airport access fees. No refunds are issued for no-show reservations. If you cannot locate your chauffeur, you must call (770) 310-8765 before leaving the pickup location.

Special Event Policies Supersede. During major events (Super Bowl, Masters Tournament, SEC Championship, FIFA World Cup, Final Four, large conventions, etc.), extended cancellation windows, non-refundable deposits, and event-specific policies apply and will be noted in your booking confirmation. These special event policies supersede the standard policies above.

18. Chargeback Policy & Dispute Procedure

Chauffeurs Lane takes chargeback fraud seriously. You acknowledge and agree that by booking services, you are entering a legally binding contract. Chargebacks filed for services that were delivered, or for charges you authorized in these Terms, constitute a breach of contract and, where applicable, credit card fraud.

Mandatory Dispute Resolution First. You agree that before initiating any chargeback, dispute, or reversal with your credit card issuer, you will first contact Chauffeurs Lane directly at (770) 310-8765 or contact us and provide us 10 business days to investigate and respond to your concern in good faith. Failure to contact us first before filing a chargeback is a material breach of these Terms.

Service Delivery Definition. Services are considered fully delivered and non-refundable once any of the following have occurred: (a) the chauffeur has arrived at the scheduled pickup location at or before the scheduled pickup time; (b) the passenger has entered the vehicle; (c) the chauffeur has waited for the passenger beyond any complimentary wait period; or (d) the passenger has been dropped off at the destination. Dissatisfaction with subjective aspects of the service experience is not grounds for a refund or chargeback.

Chargeback Evidence. You acknowledge and agree that Chauffeurs Lane's dispatch records, GPS tracking data, chauffeur trip logs, timestamped communications (SMS, email, voicemail, call records), booking confirmations, electronic acceptance of these Terms, and photographs or video recordings constitute prima facie evidence of service delivery and will be submitted to credit card issuers in response to any chargeback dispute.

Chargeback Fees & Collection. If you file a chargeback for a charge authorized under these Terms and the chargeback is ultimately reversed in our favor, you agree to pay a $50 chargeback processing fee plus any additional fees charged to us by the payment processor. Invalid chargebacks may also be referred to a collections agency, and you will be responsible for all collection costs, legal fees, and court costs incurred in recovering the disputed amount. Chauffeurs Lane also reserves the right to ban repeat chargeback abusers from future service.

Binding Arbitration for Disputes. Any billing dispute not resolved through direct communication within 30 days must be submitted to binding arbitration as outlined in Section 36 (Governing Law & Dispute Resolution), not to a credit card issuer. Filing a chargeback in lieu of arbitration is a waiver of any claim you may have against Chauffeurs Lane.

19. GPS Data & Billing Disputes

All Chauffeurs Lane vehicles are equipped with GPS tracking technology that records vehicle location, speed, route, timestamps, and dwell times. You acknowledge and agree that GPS data is authoritative in any billing dispute, including disputes regarding pickup times, drop-off times, wait times, route deviations, overtime, or extra stops. In the event of a billing dispute, our GPS records, dispatch logs, and chauffeur trip records are considered conclusive unless you can produce independent documentary evidence to the contrary.

20. Child Safety Seats

For safety and liability reasons, Chauffeurs Lane does not provide or install child safety seats, booster seats, or infant seats. Passengers traveling with children are responsible for supplying, installing, and securing their own child restraint systems in compliance with Georgia and applicable federal law. A $25 per-seat handling fee may be added when installation or storage of customer-supplied child seats is requested.

21. Safety Belts

All passengers are required to wear safety belts at all times while any Chauffeurs Lane vehicle is in motion, in compliance with Georgia state law and all applicable local regulations.

22. Pets & Service Animals

Non-service animals may only be transported in a kennel or soft-sided pet carrier. Any damage, odor, or cleaning necessitated by the presence of an animal will be billed under Section 25 (Cleaning & Damage Fees). Service animals accompanying passengers with disabilities are welcome without a carrier requirement and without additional charge, in compliance with the Americans with Disabilities Act (ADA).

23. Accessibility

Any hearing-impaired, blind, partially blind, or physically disabled passenger is permitted to be accompanied by a service animal at no additional charge. Please inform us at the time of booking of any accessibility accommodations you may require.

24. Chauffeur Conduct & Zero-Tolerance Drug / Alcohol Policy

Chauffeurs Lane maintains a zero-tolerance policy regarding drug and alcohol use by our chauffeurs and employees. We are committed to ensuring that our services remain free from the effects of drugs and alcohol. If you suspect that any Chauffeurs Lane employee or chauffeur is under the influence, please report it immediately by calling (770) 310-8765. Customer service representatives are available 24 hours a day, 7 days a week.

25. Passenger Responsibilities, Conduct & Cleaning / Damage Fees

Passengers are expected to conduct themselves in a respectful and appropriate manner at all times while using our services. By entering any Chauffeurs Lane vehicle, you agree to the following, and further agree that the associated fees will be charged to the credit card on file:

  • Behavior: No abusive, threatening, disorderly, or unsafe behavior toward the chauffeur or other passengers. Chauffeurs Lane reserves the right to terminate service immediately and without refund for any behavior that poses a safety risk.
  • Smoking / Vaping — $250 minimum fee: Smoking of any kind (including electronic cigarettes and vaping devices) is strictly prohibited in all vehicles. A minimum cleaning fee of $250 applies for any violation.
  • Food & Beverage Spills — $75 minimum fee: A minimum $75 cleanup fee applies to beverage or food spills that require professional cleaning.
  • Bodily Fluids — $350 minimum fee: Cleaning or biohazard remediation required for bodily fluids (vomit, blood, urine, etc.) is billed at a minimum of $350, with actual costs billed at the invoice from our detailing vendor plus vehicle downtime.
  • Vehicle Damage — $300 minimum fee: Any damage to vehicle interior or exterior (tears, burns, stains, broken equipment, etc.) is billed at a minimum of $300 plus the actual cost of repair and vehicle downtime at the daily rental replacement rate.
  • Capacity: Vehicle passenger capacity as noted at booking may not be exceeded. Additional passengers may be refused service or result in vehicle upgrade charges.
  • Alcohol: Passengers under the legal drinking age (21 in the U.S.) are not permitted to consume alcohol. Chauffeurs Lane reserves the right to terminate service upon discovery of underage drinking.

By providing your credit card at booking, you expressly authorize Chauffeurs Lane to charge any and all of the above fees to your credit card on file without further notice.

26. Right to Refuse or Terminate Service

Chauffeurs Lane reserves the right, at its sole discretion, to refuse to begin or to terminate any trip at any time without refund if: (a) the passenger is visibly intoxicated or under the influence of drugs to a degree that threatens passenger or vehicle safety; (b) the passenger is abusive, threatening, or disruptive; (c) the passenger count exceeds the legal capacity of the vehicle; (d) the passenger requests an unlawful act; (e) the passenger is carrying illegal items, weapons (without proper permits), or hazardous materials; or (f) any other circumstance that Chauffeurs Lane, in good faith, deems unsafe or inappropriate. Trips terminated under this section are billed at the full quoted rate.

27. Vehicle Recording & Cameras

Some Chauffeurs Lane vehicles are equipped with dashboard cameras and/or interior recording devices for safety, security, training, and insurance purposes. By entering a Chauffeurs Lane vehicle, you consent to being recorded. Audio and video recordings may be used as evidence in the event of damage, billing disputes, chargebacks, or legal proceedings. Recordings are retained in accordance with our Privacy Policy.

28. Lost or Misplaced Items

Chauffeurs Lane assumes no liability for any lost, stolen, or misplaced personal property or items left in any vehicle. Found items will be held for a reasonable period (typically 30 days) and reasonable efforts will be made to contact the passenger if identification is possible. Chauffeurs Lane is not responsible for shipping found items and may charge a handling and shipping fee for returned property.

29. In-Vehicle Complimentary WiFi

Many Chauffeurs Lane vehicles offer passengers complimentary in-vehicle Wi-Fi. Wi-Fi service is not guaranteed to work due to coverage limitations, and some data services such as video streaming may be disabled or filtered. Any passenger who uses the complimentary Wi-Fi acknowledges that significant security, privacy, and confidentiality risks are inherent in accessing the Internet through any wired or wireless connection, including interception of transmissions, loss of data, and exposure to viruses or other harmful software.

ACCORDINGLY, ALL PASSENGERS AGREE THAT CHAUFFEURS LANE LLC, ITS SUBSIDIARIES, AFFILIATES, PARENTS, OWNERS, INVESTORS, AND INSURERS WILL NOT BE LIABLE FOR ANY INTERCEPTION OF TRANSMISSIONS, LOSS OF DATA, FILE CORRUPTION, HACKING, OR DAMAGE TO YOUR COMPUTER OR NETWORK THAT RESULTS FROM THE TRANSMISSION OR DOWNLOAD OF INFORMATION OR MATERIALS THROUGH THE SERVICE.

30. Nondiscrimination Policy

Chauffeurs Lane provides transportation based solely upon vehicle and chauffeur availability, without regard to race, sex, color, national origin, sexual orientation, religion, gender identification, disability, age, or geographic departure point or destination.

31. Insurance

Auto liability insurance is provided for all Chauffeurs Lane services. It is procured in the market in which the service is rendered and provides coverage that meets or exceeds the statutory minimum required in that market.

32. Liability Limitations

Chauffeurs Lane maintains comprehensive commercial auto liability insurance as required by the State of Georgia and applicable federal regulations. Our liability for any claim arising from the use of our services is limited to the total fare paid for the specific trip during which the claim arose.

To the maximum extent permitted by applicable law, Chauffeurs Lane shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business opportunities, missed flights, missed connections, missed meetings, or any other economic losses.

Chauffeurs Lane is not responsible for delays caused by accidents, road closures, airline delays, breakdowns, weather, traffic, construction, acts of God, or any other conditions beyond our reasonable control. We will make reasonable efforts to notify you of known delays or service disruptions.

33. Force Majeure

Chauffeurs Lane shall not be responsible for damages caused by delay or failure to perform any of its obligations where such delay or failure is due to fire, earthquake, unusually severe weather, strikes, government-sanctioned embargo, flood, act of God, act of war or terrorism, pandemic, act of any public authority or sovereign government, civil disorder, delay or destruction caused by public carrier, or any other circumstance substantially beyond the control of Chauffeurs Lane.

34. Indemnification

You agree to indemnify, defend, and hold Chauffeurs Lane, its subsidiaries, partners, affiliates, vendors, subcontractors, officers, directors, employees, and agents harmless from any and all losses, liabilities, damages, claims, costs, and expenses (including reasonable attorneys' fees) arising from any third-party claims related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any law or regulation; (d) damage to any Chauffeurs Lane vehicle or property by you or your guests; or (e) any chargeback filed in breach of Section 18.

35. Electronic Acceptance & Signature

You expressly agree that your electronic acceptance of these Terms, whether by clicking "I Agree," submitting a booking, providing a credit card, responding to a booking confirmation, or allowing a chauffeur to begin service on your behalf, constitutes your legal signature and a binding agreement to these Terms under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA). You waive any defense based on the absence of a handwritten signature.

36. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws provisions. All disputes arising under these Terms shall be submitted to binding arbitration in Gwinnett County, Georgia, in accordance with the commercial rules of the American Arbitration Association (AAA). Arbitration shall consist of one (1) neutral arbitrator if the amount in controversy is less than $25,000; otherwise, the panel shall consist of three (3) neutral arbitrators, each with at least five (5) years of experience in the primary area of law as to which the dispute relates. Costs of arbitration shall be shared equally by the parties, provided that the arbitrator may award the prevailing party's costs and attorneys' fees.

YOU WAIVE ANY RIGHT TO A JURY TRIAL AND YOU AGREE THAT ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS, NOT AS PART OF A CLASS OR COLLECTIVE ACTION.

Part II — Electronic Channel Terms & Conditions

1. Acceptance

Use of the Chauffeurs Lane website at chauffeurslane.com (the "Website"), the online reservation services (the "Services"), and the Chauffeurs Lane Mobile Application ("Mobile App") are subject to the terms and conditions set forth below ("Terms of Use"), which include our Privacy Policy, incorporated by reference.

BY USING THE WEBSITE, THE SERVICES, OR THE MOBILE APP, YOU AGREE TO THESE TERMS OF USE. IF AN INDIVIDUAL IS USING THE WEBSITE, THE SERVICES, OR THE MOBILE APP ON BEHALF OF A BUSINESS ENTITY, SUCH INDIVIDUAL REPRESENTS THAT THEY HAVE THE LEGAL CAPACITY AND AUTHORITY TO BIND SUCH BUSINESS ENTITY TO THESE TERMS OF USE. CHAUFFEURS LANE MAY CHANGE THESE TERMS FROM TIME TO TIME WITHOUT NOTICE. IF YOU DO NOT AGREE, DO NOT USE THE WEBSITE, THE SERVICES, OR THE MOBILE APP.

2. Use of the Website, Services & Mobile App

You may only use the Website, Services, and Mobile App in accordance with these Terms and for lawful purposes. You agree not to use them to: (a) transmit material that infringes any third party's proprietary rights; (b) transmit false, inaccurate, or misleading material; (c) distribute viruses or harmful software; (d) use automated mechanisms generating excessive network traffic; (e) transmit unlawful, harmful, or objectionable material; (f) send unsolicited advertising; (g) attempt unauthorized access; (h) frame or link to any page other than the home page without consent; or (i) resell access without prior written consent.

3. Mobile Charges

You are responsible for payment of any costs or expenses incurred because of downloading and using any Chauffeurs Lane Mobile App, including any operator network and roaming charges. Please check with your service provider for details.

4. Mobile Application License

Subject to your compliance with these Terms, Chauffeurs Lane grants you a limited non-exclusive, non-transferable license to download and install a copy of the Mobile App on a single mobile device that you own or control and to run such copy solely for your personal use. You shall not sublicense, sell, modify, reverse engineer, or create derivative works of the Mobile App.

5. ID Number, Password & Security

You are responsible for maintaining the confidentiality of any user ID and/or password provided to you by Chauffeurs Lane. You are solely responsible for all activities that occur under your credentials and agree to notify Chauffeurs Lane immediately of any unauthorized use. CHAUFFEURS LANE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO SAFEGUARD YOUR CREDENTIALS.

6. Services

Chauffeurs Lane's provision of the Services may be subject to additional terms, conditions, and restrictions posted on the Website, the Mobile App, or otherwise communicated in writing. The Services are subject to availability and all price quotes are estimates.

7. Proprietary Rights

The Website, Mobile App, certain content therein, the Services, and any underlying software may be protected by copyright, trademark, patent, and/or other intellectual property laws and are owned by Chauffeurs Lane and/or its licensors. You agree not to copy, distribute, republish, or modify any content without prior permission, except that you may download or print information for your personal use in learning about or using the Services.

8. Third-Party Applications

The Website, Services, and Mobile App may enable you to link to or use third-party applications, services, or sites not owned or controlled by Chauffeurs Lane. Chauffeurs Lane has no control over and is not responsible for any third-party content, privacy policies, or practices. It is your responsibility to review the terms and privacy policies of third-party sites.

9. Warranty Disclaimer

THE WEBSITE, THE SERVICES, THE MOBILE APP, AND ANY INFORMATION PROVIDED THROUGH THEM ARE PROVIDED ON AN "AS IS" BASIS. CHAUFFEURS LANE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CHAUFFEURS LANE DOES NOT WARRANT THAT THE WEBSITE, SERVICES, OR MOBILE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

IN NO EVENT WILL CHAUFFEURS LANE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE WEBSITE, SERVICES, OR MOBILE APP. CHAUFFEURS LANE'S AGGREGATE LIABILITY FOR DIRECT DAMAGES IS LIMITED TO THE GREATER OF (i) THE AMOUNT PAID BY THE USER FOR THE SPECIFIC SERVICE IN DISPUTE OR (ii) $50.

11. Indemnification

You agree to indemnify and hold Chauffeurs Lane, its subsidiaries, partners, affiliates, vendors, subcontractors, officers, employees, and agents harmless from any and all losses, liabilities, damages, and costs arising from your use of the Website, Services, or Mobile App, or your violation of these Terms.

12. Payment

Chauffeurs Lane uses a third-party payment processor to process payments. Processing of payments is subject to the terms and privacy policies of the payment processor and your credit card issuer. Chauffeurs Lane is not responsible for any errors by the payment processor.

13. Privacy

Chauffeurs Lane takes your privacy very seriously. For further information about what information we collect and how we use it, please view our Privacy Policy.

14. Severability, Waiver & Entire Agreement

If any part of these Terms shall be held invalid or unenforceable, such provision shall be ineffective but shall not affect any other part. The failure of Chauffeurs Lane to exercise any right shall not prevent subsequent exercise of such right. These Terms and any other policies posted on the Website set forth the entire agreement between you and Chauffeurs Lane on this subject matter.

15. International Access

The Website, Services, and Mobile App are provided from the United States of America and all servers reside in the U.S.A. We make no representations regarding the legality of these services in any other country. It is your responsibility to ensure that your use complies with all applicable laws outside of the U.S.A.

Part III — SMS Terms & Conditions

1. Explanation of Service

Chauffeurs Lane Alerts are SMS messages that notify you about important transaction-related details about reservations you book with Chauffeurs Lane. These may include, but are not limited to: pre-reservation reminders, notification that your chauffeur is en route to pick you up, and notification that your chauffeur is at the requested pickup location.

2. Subscribing to the Service

Any Chauffeurs Lane passenger profile with a valid mobile telephone number will be automatically enrolled upon setup unless otherwise instructed. SMS notifications sent by Chauffeurs Lane are for the sole purpose of providing important service information and comply with the US Telephone Consumer Protection Act of 1991 and the CAN-SPAM Act of 2003.

3. How to Opt-In

Use of any Chauffeurs Lane service authorizes Chauffeurs Lane to send Alerts via SMS directly to your mobile device unless you choose to opt-out.

4. How to Opt-Out (STOP)

If at any time you would like to stop receiving Chauffeurs Lane Alerts, you can opt out by replying STOP to any SMS text you receive. You can also opt out by visiting the account settings of your passenger profile at chauffeurslane.com. After opting out, you will receive confirmation and will no longer receive alert messages unless you subscribe again.

5. Help

6. Pricing & Cost

Chauffeurs Lane Alerts are complimentary. However, depending on your text plan, your carrier may charge you. Message and Data Rates May Apply. Please check with your carrier for specific rates and fees.

By participating in the Service, you certify that you are over 18 years of age and either: (a) you are the mobile account holder, or (b) you have the mobile account holder's permission.
